Welcome to Aurix Recovery Ltd. These Terms & Conditions ("Terms") outline the agreement between Aurix Recovery Ltd. ("we", "us", "our") and any individual, company, or entity ("Supplier", "you") that supplies electronic waste materials to us. By engaging with Aurix Recovery Ltd., you agree to the following Terms.
These Terms ensure transparency, fairness, and compliance while protecting both parties. Please read them carefully before engaging in any transaction with us. If you do not agree with any part of these Terms, you should not proceed with supplying materials to us.
1. Supplier Eligibility & Responsibilities
- You confirm that you are legally authorised to sell the materials you provide and that they are free of any legal claims, encumbrances, or disputes. You must have full ownership rights over the materials you supply and guarantee that they are not subject to any third-party claims.
- You agree that all materials supplied to Aurix Recovery Ltd. become our sole property upon completion of the agreed payment. Once payment is issued, you relinquish all rights, claims, or future entitlements to the supplied materials.
- Materials must be accurately described before shipment to ensure correct pricing and avoid disputes. Any misrepresentation, whether intentional or accidental, may result in adjustments to pricing, refusal of materials, additional verification checks, or permanent disqualification as a supplier.
- You are responsible for ensuring that all materials supplied to us comply with applicable waste disposal, e-waste handling, and hazardous material regulations in your country or region. Suppliers must operate in accordance with all relevant laws and industry best practices.
- Suppliers must disclose any prior processing or treatment done to the materials (e.g., previous chemical stripping, pre-refining processes, or recovery attempts) before shipment. Failure to disclose this information may result in rejection of materials or price adjustments.
- You confirm that any supplied materials do not contain radioactive, illegal, or hazardous substances beyond what is industry-accepted and declared in advance. If hazardous or illegal substances are found in a shipment, the supplier may be reported to regulatory authorities.
- All shipments must comply with hazardous material transport regulations, and the supplier is responsible for ensuring safe handling, secure packaging, and proper labelling before dispatch.
- If any supplied materials are deemed unsuitable, misrepresented, contaminated, or non-compliant, we reserve the right to reject, dispose of, or return them at your expense.
- Suppliers acknowledge that if a shipment is rejected for non-compliance or misrepresentation, Aurix Recovery Ltd. is not responsible for returning materials if the supplier fails to arrange return shipping within 14 days of notification.
- Any attempt to misrepresent the composition, purity, origin, or prior treatment of supplied materials may result in immediate contract termination, legal action where applicable, and notification to relevant authorities.
- Suppliers must ensure that materials are securely packaged to prevent contamination, leakage, or exposure during transit. Aurix Recovery Ltd. is not responsible for any deterioration of materials during shipping.
2. Pricing & Payment Terms
A. Upfront Payment Model
- Payment is based on the estimated gold content and recovery value, calculated before refining. Our estimates are based on industry data, historical recovery rates, and in-house valuation.
- Market rates fluctuate daily; once a quote is agreed upon, it is final and non-negotiable, unless materials significantly differ from the description provided. If a material's actual content is substantially lower than stated, Aurix Recovery Ltd. reserves the right to adjust payment accordingly.
- Payments are processed only after materials are received, inspected, and verified at our facility.
- We do not offer industry-leading payouts, and quotes reflect our internal recovery assessments, refining costs, and operational expenses.
- Suppliers must invoice Aurix Recovery Ltd. before payment processing. Failure to provide an invoice may result in delays in payment.
B. Revenue Share Model (If Offered)
- The revenue share model is only available at Aurix Recovery Ltd.'s sole discretion and is not an automatic payment option. It may be offered in select cases based on material quality and agreement between both parties. If offered, the terms are as follows:
- Payment is based on the actual recovered gold yield, minus processing and refining costs. This means final payouts are determined after refining is completed.
- The revenue share percentage is determined by:
- Material type & quality – Higher-yield materials receive a higher share.
- Gold content & final yield – Payment is based on actual recovery, not projected estimates.
- Market prices at the time of settlement – Payments align with real-time gold values.
- Processing & refining fees – A fixed percentage is deducted to cover operational costs, including waste management.
- Suppliers receive a full breakdown of recovered gold and applied deductions before payment is issued.
- Aurix Recovery Ltd. reserves the right to revert a Revenue Share transaction to an Upfront Payment Model at any time before refining begins, at our sole discretion.
- Refining timeframes vary depending on the material but may take up to 10 business days before settlement.
- Aurix Recovery Ltd. does not guarantee any minimum revenue share percentage and reserves the right to determine all payout structures on a case-by-case basis.
- Once refining has begun, suppliers cannot request the return of their materials, even if they wish to withdraw from the transaction.
C. General Payment Terms
- Payments are made via bank transfer or another agreed-upon method.
- Payment processing times depend on banking institutions and can take up to 10 business days after verification.
- If payment processing exceeds 10 business days due to banking, regulatory, or third-party financial institution delays, Aurix Recovery Ltd. is not liable for any consequential losses, including but not limited to loss of profit, interest, or business opportunities.
- Aurix Recovery Ltd. is not responsible for payment delays caused by incorrect details provided by the Supplier.
- Once payment is made, the transaction is final, and the materials become the full property of Aurix Recovery Ltd.
- Aurix Recovery Ltd. reserves the right to adjust pricing structures, refining fees, and payment terms without prior notice to reflect market conditions, operational costs, and regulatory changes.
3. Shipment & Material Verification
- Suppliers are responsible for all shipping costs unless explicitly agreed otherwise.
- We are not responsible for lost or damaged shipments before arrival at our facility. Any loss or damage during transit is the responsibility of the supplier and their chosen shipping provider.
- Upon arrival, materials undergo inspection and verification:
- If the materials do not match the description provided, we may re-evaluate the quote, adjust payment accordingly, or reject the shipment.
- If we reject materials, the supplier must arrange return shipping within 14 days, or the materials will be safely disposed of following regulatory requirements.
- If a supplier does not arrange for return shipping within 14 days, the materials will be disposed of at Aurix Recovery Ltd.'s discretion, and the supplier may be charged a disposal fee where applicable.
- Rejected materials will not be stored indefinitely, and Aurix Recovery Ltd. is not liable for any materials left unclaimed after the designated period.
- Aurix Recovery Ltd. reserves the right to refuse any shipment that arrives in damaged or contaminated condition, without liability for losses incurred by the supplier.
- For international shipments, the supplier is responsible for all customs duties, taxes, and import/export documentation. Aurix Recovery Ltd. is not responsible for customs delays, confiscations, or additional import fees.
4. Liability and Disclaimer
- Aurix Recovery Ltd. is not liable for any indirect, incidental, or consequential losses resulting from transactions, shipping delays, or market fluctuations.
- We do not guarantee the highest industry payouts—our pricing reflects refining costs, operational overheads, and the estimated recovery value of materials.
- Suppliers bear all responsibility for ensuring their materials are legally sourced and free from any legal disputes or third-party claims.
- We do not guarantee any minimum yield, payout, or processing time under the Revenue Share Model.
- Aurix Recovery Ltd. shall not be held responsible for delays or inability to fulfil obligations due to force majeure events, including but not limited to natural disasters, government restrictions, supplier shortages, cyber-attacks, financial system failures, or changes in regulatory requirements.
- Aurix Recovery Ltd. is not responsible for losses, costs, or damages resulting from force majeure events, including but not limited to acts of God, cyber-attacks, material shortages, financial institution failures, or changes in environmental or trade regulations.
5. Compliance & Legal Obligations
- Aurix Recovery Ltd. operates in compliance with UK waste management laws, Anti-Money Laundering (AML) regulations, and environmental legislation.
- Aurix Recovery Ltd. complies with UK Anti-Money Laundering (AML) regulations, including Know Your Customer (KYC) and due diligence checks. Suppliers may be required to provide proof of identity, proof of business registration, and transaction records before proceeding with sales. Failure to comply with AML checks may result in delayed or rejected transactions.
- We reserve the right to request supplier identification, invoices, or due diligence documentation as part of our regulatory compliance procedures.
- Suppliers acknowledge that Aurix Recovery Ltd. may request updated KYC/AML documentation periodically to remain compliant with legal and regulatory obligations. Failure to provide requested information may result in delayed or cancelled transactions.
- Any attempts to supply stolen, illegal, or improperly sourced materials will be reported to the relevant authorities.
- All waste disposal and refining by-products are handled in full compliance with hazardous waste regulations.
6. Amendments & Updates
- Aurix Recovery Ltd. reserves the right to modify these Terms at any time. Any changes will be posted on our website, and continued engagement with our services will constitute acceptance of the updated Terms.
- Suppliers are encouraged to review these Terms periodically to ensure compliance.
